1. Acceptance of Terms

By accessing or using Donezy (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.

The Service is operated by AgentsData AI, LLC ("Company," "we," "us," or "our"). Donezy is a product of Clozee AI and is accessible at clozee.ai. These Terms constitute a legally binding agreement between you and the Company.

2. Description of the Service

Donezy is an AI-powered executive assistant designed for licensed real estate buyer's agents. The Service helps agents manage their day-to-day workflows, including:

• Communicating with listing agents via email and SMS
• Managing deal context, contacts, and transaction details
• Looking up property listings and Buyer Agent Commission (BAC) information
• Scheduling and coordinating showings
• Integrating with document and transaction management platforms
• Drafting and sending communications on your behalf

Donezy is an automation and AI assistance tool. It is not a brokerage, a Multiple Listing Service (MLS), or a system of record. It does not provide legal, financial, or professional advice.

3. User Accounts and Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Hold an active real estate license in your state of practice
• Provide accurate and truthful information during registration and verification
• Maintain the security of your account credentials

You are responsible for all activity that occurs under your account. If you suspect unauthorized access, contact us immediately at support@clozee.ai.

4. Agent Verification and MLS Compliance

Certain features of the Service require verification of your real estate license and MLS membership. By using these features, you agree to:

• Provide your real estate license number and state of licensure for verification
• Provide your MLS member ID and confirm your MLS membership
• Sign an attestation confirming the accuracy of your credentials
• Notify us promptly if your license or MLS membership status changes

Providing false or misleading verification information may result in immediate termination of your account and may be reported to the appropriate licensing authority or MLS.

5. AI Assistant and Delegated Authority

By using Donezy, you authorize the Service to act on your behalf within connected third-party services, including sending emails, text messages, and performing other actions you direct.

You may revoke permissions or disconnect integrations at any time through your account settings.

6. SMS and Messaging Terms

The Service uses SMS and text messaging to facilitate communications. By providing your phone number and using the Service, you agree to the following:

• Consent: You consent to receive SMS messages from Donezy related to your account, transactions, and showing activity. This includes transactional messages, notifications, and communications sent on your behalf.
• Opt-Out: You may opt out of receiving SMS messages at any time by replying STOP to any message from us. After opting out, you will receive a confirmation message. Note that opting out of SMS may limit certain features of the Service.
• Help: For assistance with SMS messaging, reply HELP to any message or contact us at support@clozee.ai.
• Message Frequency: The number of messages you receive varies based on your transaction activity and use of the Service.
• Carriers: Supported carriers include major US carriers. Carrier message and data rates may apply.

We will not share your phone number or messaging data with third parties for marketing purposes.

7. Payment and Subscription

Access to the Service requires a paid subscription. Payment is processed through Stripe.

• Subscription fees are billed on a recurring basis (monthly or annually, depending on your plan)
• You authorize us to charge your payment method on file for recurring subscription fees
• You may cancel your subscription at any time through your account settings or by contacting support
• Cancellation takes effect at the end of your current billing period; you will retain access until then
• Refunds are handled on a case-by-case basis at our discretion

We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. User Responsibilities

You agree that you will:

• Use the Service only for lawful purposes related to your real estate practice
• Provide accurate information and keep your account details up to date
• Comply with all applicable MLS rules, brokerage agreements, and data licensing terms
• Not use the Service to scrape, resell, or redistribute restricted data
• Not attempt to reverse engineer, decompile, or otherwise access the source code of the Service
• Not use the Service to send spam, unsolicited messages, or harassing communications
• Safeguard your account credentials and promptly report any unauthorized access

You remain solely responsible for ensuring that your use of the Service complies with all professional, contractual, and regulatory obligations applicable to you.

9. Third-Party Integrations

Donezy integrates with third-party services including Google (Gmail and Calendar), DocuSign, Dotloop, and others. Your use of those services through Donezy is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or functionality of third-party services. Changes or outages in third-party services may affect Donezy's functionality.

You may connect and disconnect third-party integrations at any time through your account settings.

10. Intellectual Property

All software, trademarks, logos, and content provided as part of the Service are owned by AgentsData AI, LLC or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for the duration of your subscription.

You retain ownership of the data and content you provide to the Service. By using the Service, you grant us a limited license to process your data as necessary to provide and improve the Service.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated outputs may contain inaccuracies and should always be reviewed before reliance.

We do not guarantee the accuracy, completeness, or timeliness of any property data, MLS data, or third-party information accessed through the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• AgentsData AI, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, business opportunities, or goodwill.
• Our total aggregate liability for any claims arising out of or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
• We are not liable for any actions taken by the AI assistant that you authorized, approved, or failed to review.

13. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if:

• You violate these Terms
• You provide false verification information
• Your real estate license is suspended or revoked
• Continued use creates legal, security, or compliance concerns

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate compliance purposes.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved in the state or federal courts located in Smith County, Texas.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
